Terms & Conditions
Current as at 23 September 2026.
1. Parties and application
1.1 These terms govern the supply of services by WAO Connect Pty Ltd (ABN 67 632 872 523) trading as WAO Business ("WAO", "we", "us") to the client identified in a Service Agreement, Proposal or Order ("you", "Client").
1.2 These terms apply to all services supplied by WAO, including WAO BookSmart, the Finance Health Check, WAO Talent, Partner Connect and any ad hoc services, except where a signed Service Agreement expressly states otherwise.
1.3 Where a signed Service Agreement conflicts with these terms, the Service Agreement prevails to the extent of the inconsistency.
1.4 Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, which cannot lawfully be excluded.

3. BAS workpapers and tax matters
3.1 WAO prepares BAS workpapers as part of the bookkeeping services: reviewing GST coding, reconciling GST accounts and compiling the figures needed to complete a Business Activity Statement.
3.2 WAO does not hold a registration under the Tax Agent Services Act 2009 (Cth). WAO does not lodge Business Activity Statements, does not represent the Client to the Australian Taxation Office, and does not provide advice on the Client's liabilities or entitlements under a BAS provision. Lodgement, and any advice of that kind, is the responsibility of the Client or the Client's registered BAS agent or tax agent. On request, WAO can refer the Client to a registered agent.
3.3 The Client remains responsible for reviewing and approving any statement before lodgement and for the accuracy of the information it supplies.
3.4 WAO does not provide income tax, audit, financial product or investment advice under these terms.
4. Client obligations
4.1 The Client must provide all Client Materials within the timeframes notified by WAO. Timeliness of Client Materials is a precondition to the service levels in clause 6.
4.2 The Client must maintain its Odoo Environment, including subscription and hosting, and must provide and maintain the access described in clause 5.
4.3 WAO supports Odoo version 16 and above. The Client must notify WAO before upgrading, migrating or materially reconfiguring the Odoo Environment. WAO is not liable for any failure to meet a service level arising from a change made without notice.
4.4 The Client is responsible for the accuracy and completeness of the underlying records and source documents it supplies, and for retaining records as required by law.
4.5 The Client must nominate a single authorised contact empowered to approve out-of-scope work under clause 7.3.
4.6 The Client warrants that it has the authority, and has given any notices required under the Privacy Act 1988 (Cth), to permit WAO to access personal information held in the Odoo Environment for the purpose of the services.
5. Access, data and security
5.1 The Client grants WAO access to the Odoo Environment at the level necessary to perform the services. For a Finance Health Check, access is read-only via a dedicated service account.
5.2 The Client may revoke access at any time. Revoking access suspends WAO's obligations, including all service levels, for so long as access is withheld.
5.3 Client financial data is hosted within Australia. Some WAO personnel access the Odoo Environment from Sri Lanka to perform the services. All personnel are bound by the confidentiality obligations in clause 5.4 and by WAO's Privacy Policy.
5.4 Each party must keep the other's confidential information confidential and use it only for the purposes of the engagement. This clause survives termination.
5.5 Personal information is handled in accordance with WAO's Privacy Policy, which forms part of these terms.
6. WAO BookSmart — service levels
6.1 WAO will perform the Month-End Close for each Reporting Period, comprising the tasks listed in the applicable Service Agreement and clause 7.1.
6.2 Reporting. WAO will deliver the monthly report package within 9 Business Days of the later of (a) the end of the Reporting Period and (b) receipt of all Client Materials for that Reporting Period.
6.3 Service credit. If WAO fails to meet clause 6.2 for reasons within its control, the Client is entitled to a credit of 10% of that month's fee, applied to the next invoice. The Client must claim the credit in writing within 30 days of the due delivery date.
6.4 Exclusions. No service credit accrues, and the 9 Business Day period is extended accordingly, where delivery is delayed by: (a) late, incomplete or inaccurate Client Materials; (b) unavailability, suspension or restriction of access to the Odoo Environment; (c) unresolved queries awaiting Client response; (d) out-of-scope work under clause 7 that has been quoted but not yet approved; (e) pre-existing errors in opening balances or historical records; (f) any change to the Odoo Environment made without notice under clause 4.3; or (g) a Force Majeure Event under clause 14.
6.5 Query response. WAO will acknowledge Client queries within 4 Business Hours. Acknowledgement means confirming receipt and the expected path to resolution. It is not a commitment to resolve the query within that time.
6.6 Correction of WAO errors. Where a report contains an error caused by WAO, WAO will correct and re-issue it at no charge. This clause does not apply to errors arising from inaccurate or incomplete Client Materials, which are chargeable under clause 7.
6.7 The service credit in clause 6.3 and the correction right in clause 6.6 are the Client's sole and exclusive remedies for failure to meet the service levels in this clause, subject to clause 1.4.
7. Scope and out-of-scope work
7.1 In scope for a BookSmart retainer: accounts receivable processing; accounts payable processing; bank reconciliation; BAS workpaper preparation; month-end journals; the management report package; independent review; client portal access; query resolution; and period lock with workpaper archive.
7.2 Out of scope, including but not limited to: investigation or correction of pre-existing balance sheet errors; BAS variance reconciliation; clearing account corrections; inventory valuation variances; COGS anomaly investigation; payroll compliance review; special-purpose reports; and any work arising from a Client-side system change.
7.3 No surprises. Out-of-scope work will be quoted in writing and will not commence until the Client accepts the quote in writing.
7.4 Absorbed investigation. Where WAO investigates a suspected issue and finds the item is functioning correctly, that investigation time is absorbed by WAO and not charged. Where an actual issue is found, the work to remediate it is chargeable under clause 7.3.
7.5 Transaction volumes are reviewed every two months. Where sustained volume exceeds the contracted tier, WAO may move the Client to the applicable tier on 30 days' written notice.
8. Fees and payment
8.1 All fees are in Australian dollars and exclusive of GST unless stated otherwise.
8.2 Retainer fees are payable monthly in advance. Setup fees and Finance Health Check fees are payable in advance of commencement.
8.3 Ad hoc work is billed at the rates published or quoted at the time of acceptance.
8.4 Invoices are payable within 14 days. WAO may suspend services on written notice where an invoice remains unpaid more than 14 days after its due date.
8.5 WAO may review fees annually on 60 days' written notice.
8.6 Introductory discounts. Where an introductory discount is offered, it applies to the first Reporting Period only and does not carry over.
9. WAO Talent
9.1 WAO Talent provides permanent placement and staff augmentation services.
9.2 Permanent placement fees are fixed by seniority band and are payable on the candidate's commencement date.
9.3 Staff augmentation contractors are independent ABN holders engaged under a service agreement. They are not employees of WAO or the Client.
9.4 Replacement guarantee. Where a permanently placed candidate ceases employment for performance-related reasons within 3 months of commencement, WAO will conduct one replacement search at no additional placement fee, provided that: (a) fees are paid in full; (b) the Client notifies WAO in writing within 14 days of cessation; (c) the role brief is materially unchanged; and (d) the cessation did not arise from redundancy, restructure, or a material change to the role.
9.5 The replacement in clause 9.4 is the Client's sole remedy and is limited to one replacement per placement.
10. Partner Connect
10.1 Partner Connect enables an accredited partner to resell WAO services under the partner's brand.
10.2 Revenue share, tier thresholds and any annual fee are set out in the Partner Agreement.
10.3 Partner Charter. WAO will not directly contact, quote or solicit a partner's end client for services within the scope of the Partner Agreement, for the term of the agreement and for 24 months following termination. This clause applies to clients introduced by the partner and active under the Partner Agreement, and does not apply where the client approaches WAO independently or where the Partner Agreement was terminated for the partner's breach.
10.4 The partner remains responsible for its own client contracts, fee collection and consumer law compliance in respect of its clients.
11. Intellectual property and workpapers
11.1 The Client owns its financial data and records.
11.2 WAO owns its methodologies, templates, tools, assessments (including the WAO Odoo Finance Assessment) and any pre-existing materials.
11.3 On termination, and subject to payment of all outstanding fees, WAO will prepare a final close and hand over workpapers relating to the engagement.
12. Term and termination
12.1 The engagement continues until terminated under this clause. There is no minimum term unless stated in a Service Agreement.
12.2 Either party may terminate a BookSmart retainer on 30 days' written notice.
12.3 Either party may terminate immediately on written notice where the other commits a material breach not remedied within 14 days of notice, or becomes insolvent.
12.4 On termination the Client must pay for all services performed to the termination date. Fees paid in advance for services not yet performed are refundable on a pro-rata basis, less any work already undertaken in the current Reporting Period.
13. Liability
13.1 To the maximum extent permitted by law, and subject to clause 1.4, WAO's total aggregate liability arising out of or in connection with the services is limited to the fees paid by the Client in the 12 months preceding the event giving rise to the claim.
13.2 Neither party is liable for indirect or consequential loss, loss of profit, loss of revenue, or loss of anticipated savings.
13.3 WAO is not liable for loss arising from inaccurate, incomplete or late Client Materials, from the Client's own configuration of the Odoo Environment, or from any decision the Client takes on the basis of records it has not reviewed.
13.4 The Client must review reports delivered under clause 6.2 and notify WAO of any suspected error within 30 days of delivery.
14. Force majeure
14.1 Neither party is liable for failure to perform caused by an event beyond its reasonable control, including where that event affects the Odoo platform, hosting infrastructure or a third-party service on which the services depend.
15. General
15.1 Governing law. These terms are governed by the laws of New South Wales, and the parties submit to the non-exclusive jurisdiction of its courts.
15.2 Variation. WAO may amend these terms on 30 days' written notice. Continued use of the services after that period constitutes acceptance. Material adverse changes entitle the Client to terminate without penalty within that period.
15.3 Assignment. Neither party may assign without the other's written consent, not to be unreasonably withheld.
15.4 Entire agreement. These terms, with any Service Agreement and the Privacy Policy, form the entire agreement.
15.5 Severance. If a provision is unenforceable it is severed and the remainder continues in force.
15.6 Notices. Notices may be given to sales@waobusiness.com.au or to the Client's nominated contact.
